A practical agreement for reliable monitoring
Uptenza helps teams monitor websites, servers, APIs, and cloud infrastructure; receive alerts; and coordinate incident response. These Terms are designed to make the responsibilities around that service clear.
1. Acceptance of these Terms
By accessing the Uptenza website, creating an account, starting a trial, or using any Uptenza service, you agree to these Terms and our Privacy Policy. If you use Uptenza for an organization, you confirm that you have authority to accept these Terms on its behalf. If you do not agree, do not access or use the service.
2. The Uptenza Service
Uptenza is an infrastructure monitoring and intelligence platform. Depending on your plan and configuration, the service may include:
- Website and uptime monitoring, including SSL and domain health checks.
- Server monitoring for resources, inventory, performance history, Docker workloads, and supported operating systems.
- API monitoring for endpoint availability, response time, and test results.
- Alert notifications, routing, integrations, and incident management workflows.
- Dashboards, reports, regional monitoring, status information, and related documentation.
Features, limits, supported integrations, monitoring regions, retention periods, and other service details may vary by plan. We may improve, modify, or retire a feature when reasonably necessary to maintain or improve the service.
3. Accounts and access
You are responsible for providing accurate account information and keeping credentials, API keys, and access links confidential. You must promptly notify us if you suspect unauthorized access. You are responsible for activity performed through your account and for managing the permissions of your team members.
Account access is intended for authorized users only. You may not share credentials in a way that bypasses plan limits or makes it impossible to identify users who access your workspace.
4. Plans, billing, and trials
Paid plans are billed according to the pricing and billing interval selected when you subscribe. You authorize Uptenza or its payment provider to charge the applicable fees, taxes, and approved usage-based charges. Unless a plan or order form says otherwise, subscriptions renew automatically for the same billing interval until cancelled.
Any free trial or free plan is provided subject to its stated limits. We may change or end a trial, restrict access after the trial, or require a paid plan when usage exceeds the applicable limits. Fees already paid are non-refundable except where required by law or expressly stated in an order form.
You may cancel a subscription through the available account controls or by contacting us. Cancellation normally takes effect at the end of the current paid period; access may remain available until then.
5. Acceptable use
You may use Uptenza only for lawful, authorized monitoring and operational purposes. You must not:
- Monitor systems, domains, APIs, or infrastructure without the owner's permission.
- Use the service to probe, scan, attack, overload, or disrupt a third party or any Uptenza system.
- Attempt to bypass authentication, rate limits, plan limits, or security controls.
- Upload malware, unlawful content, or material that infringes another person's rights.
- Reverse engineer, resell, or create a competing service from the platform except where applicable law permits.
- Use alerts or integrations to send spam, harassment, or unsafe automated commands.
We may investigate suspected misuse and take proportionate action to protect the service, our customers, and third parties.
6. Your data and monitoring content
You retain ownership of the domains, endpoints, configuration, logs, alert content, incident details, and other material that you submit to or generate through your Uptenza workspace (“Customer Data”). You give Uptenza the limited rights needed to host, process, transmit, display, and back up Customer Data in order to provide, secure, support, and improve the service.
You are responsible for ensuring that you have the rights and permissions required to submit Customer Data and to monitor the systems you configure. Do not put secrets, passwords, or sensitive personal information into fields that do not require them. Use secure secret-management practices for credentials and integration tokens.
Our handling of personal data is described in the Privacy Policy. You should also maintain your own backups of information you need for business continuity.
7. Availability and support
We aim to keep Uptenza dependable, but monitoring and notification services cannot guarantee that every outage, degradation, security event, or alert will be detected or delivered. Factors outside our control may affect checks, network paths, third-party integrations, email delivery, or notification timing.
We may perform maintenance, updates, or emergency changes. We will make reasonable efforts to communicate material planned interruptions when practical. Support channels and response targets depend on your plan or written agreement. Uptenza is not an emergency service and must not be used as the sole control for safety-critical, life-critical, or legally regulated systems.
8. Intellectual property
Uptenza and its licensors own the platform, software, visual design, documentation, trademarks, and related technology. Except for the limited right to use the service under these Terms, no ownership rights are transferred to you. You may provide feedback, suggestions, or ideas, and you agree that we may use them without restriction or payment, provided we do not identify you as the source without permission.
9. Suspension and termination
You may stop using the service or cancel your subscription as described in the billing section. We may suspend or limit access if necessary to address non-payment, a security risk, unlawful activity, a material breach, or a threat to the service or other customers. Where practical, we will provide notice and an opportunity to resolve the issue.
When an account ends, your right to use the service ends. We may retain or delete Customer Data according to our retention practices and legal obligations. Sections that by their nature should continue, including ownership, disclaimers, limitations of liability, and dispute-related provisions, will survive termination.
10. Disclaimers
To the maximum extent permitted by law, Uptenza is provided on an “as available” and “as is” basis. We do not promise that the service will be uninterrupted, error-free, completely secure, or able to detect every issue. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement except where such disclaimers are not permitted.
You remain responsible for your systems, deployment decisions, incident response, backups, and any actions taken based on monitoring data or alerts.
11. Limitation of liability
To the maximum extent permitted by law, Uptenza and its providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption arising from or related to the service.
To the maximum extent permitted by law, the total liability of Uptenza for claims relating to the service will not exceed the fees you paid to Uptenza for the service during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.
12. Changes to these Terms
We may update these Terms when our service, business, or legal obligations change. We will update the effective date and, where appropriate, provide notice through the website, product, or email. If you continue using Uptenza after the updated Terms take effect, you accept the revised Terms. If a change is unacceptable, you may stop using the service or cancel your subscription.
